Terms of Service
Effective: 1 July 2025
1. Agreement
By registering for or using AetherCloud ("Service"), you agree to these Terms of Service ("Terms") on behalf of yourself and, where applicable, the organisation you represent ("Company"). If you do not agree, you must not use the Service.
2. Eligibility
You must be at least 18 years old and have authority to enter into contracts on behalf of your organisation. The Service is intended for business use and is not a consumer product.
3. Accounts & Security
You are responsible for maintaining the confidentiality of your login credentials. You must notify us immediately of any suspected unauthorised access. We reserve the right to suspend accounts where there is evidence of a security breach.
4. Acceptable Use
You may use the Service only for lawful business purposes. You must not: (a) use the Service to transmit spam, malware, or unlawful content; (b) attempt to reverse-engineer or circumvent any security measure; (c) resell or sublicense access without our written consent.
5. Subscription & Billing
Subscription fees are charged in advance via Stripe. By providing payment details, you authorise recurring charges at the applicable rate. All fees are in GBP and inclusive of VAT where applicable. Annual plans are billed as a single payment. Full details are in our Refund Policy.
6. Free Trial
New Premium subscribers receive a 30-day free trial. Your payment card is collected at sign-up via Stripe. You will not be charged until the trial ends. You may cancel at any time during the trial at no cost. On expiry, your card is charged automatically for the selected plan (monthly or annual).
7. Refunds
Subscription fees are generally non-refundable once a billing period has commenced. This does not affect statutory rights. See our Refund Policy for full details, including the waiver of the 14-day cancellation right under the Consumer Contracts Regulations 2013 for digital services already performed.
8. Intellectual Property
AetherCloud and all associated software, branding, and content are owned by or licensed to us. You retain ownership of your business data. You grant us a limited licence to process your data solely to provide the Service.
9. Data Processing
We process personal data in accordance with our Privacy Policy and as Data Processor where you are the Data Controller. A Data Processing Agreement (DPA) is available on request.
9a. Google Calendar Integration
The Service offers an optional integration with Google Calendar. By connecting your Google account, you authorise AetherCloud to create, update, and delete Google Calendar events on your behalf using OAuth 2.0. This integration is entirely optional and can be disconnected at any time from Settings → My Account. By enabling this integration you acknowledge that: (a) appointment data (title, date, time, location, description) will be transmitted to Google's servers; (b) the Google API Services User Data Policy applies to the use of data received via the Google Calendar API, including the Limited Use requirements (developers.google.com/terms/api-services-user-data-policy); (c) we do not store your Google credentials — only a short-lived OAuth access token is used during active sessions; (d) we store Google Calendar event IDs in our database solely to enable future updates and deletions of events we created.
10. Limitation of Liability
To the fullest extent permitted by law, our aggregate liability to you shall not exceed the fees paid in the 12 months preceding the claim. We are not liable for indirect or consequential losses, lost profits, or data loss. Nothing in these Terms excludes liability for fraud, death, or personal injury caused by negligence.
11. Termination
We may suspend or terminate your account immediately for material breach of these Terms, non-payment, or where required by law. You may cancel at any time via Settings → Subscription.
12. Governing Law
These Terms are governed by the laws of England and Wales. Any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13. Changes
We may update these Terms and will provide at least 30 days' notice of material changes via email or in-app notification.
These Terms do not affect your statutory rights as a business or consumer.
